Welcome to Tempus. These Terms of Service ("Terms") govern your access to and use of the Tempus website, mobile applications, and all automated investment services and financial planning tools (collectively, the "Service") provided by Tempus, Inc.

1. Acceptance of Terms

By accessing, creating an account, or using the Service, you accept and agree to be bound by the terms and provisions of this agreement.

Eligibility: By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement. You may not use the Service if you are barred from doing so under the laws of the United States or other applicable jurisdictions.

2. Description of Service

Tempus provides automated, algorithm-based investment advisory services and financial planning tools through our platform. We are a registered investment advisor with the U.S. Securities and Exchange Commission (SEC).

We reserve the right to modify, suspend, or discontinue the Service, or any part thereof, at any time and without notice.

3. Investment Risks

All investments involve risk, including the possible loss of principal. Past performance does not guarantee future results.

You acknowledge that the value of investments may fluctuate and that you may lose all or part of your principal. Tempus does not provide any guarantee of performance. All investment decisions are subject to various market, currency, economic, and business risks. The Service is not FDIC-insured.

4. User Responsibilities

4.1. Account Security: You are responsible for maintaining the confidentiality of your account login credentials (username and password) and are fully responsible for all activities that occur under your account. You agree to notify Tempus immediately of any unauthorized use of your account.

4.2. Accurate Information: You agree to provide true, accurate, current, and complete information as prompted by our registration forms and to keep this information updated.

4.3. Prohibited Conduct: You agree not to use the Service for any unlawful purpose or in any way that could harm the Service. This includes, but is not limited to:

• Attempting to reverse-engineer, decompile, or disassemble the platform.
• Introducing any viruses, trojan horses, worms, or other malicious software.
• Interfering with the Service's networks, servers, or security.
• Using the Service to conduct fraudulent activities.

5. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, Tempus (including its officers, directors, employees, and affiliates) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of, or inability to access or use, the Service; (b) any conduct or content of any third party on the Service; or (c) any unauthorized access, use, or alteration of your transmissions or content.

6. Termination

You may terminate this agreement at any time by closing your account and ceasing all use of the Service.

We may terminate or suspend your account and access to the Service at any time, with or without notice, for any reason, including but not limited to a breach of these Terms. Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes to these Terms by posting a notice on our platform or by sending an email to the address associated with your account. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

9. Intellectual Property

All content, trademarks, service marks, logos, software, and other intellectual property on the Tempus platform are the exclusive property of Tempus, Inc. and its licensors. You may not copy, modify, distribute, sell, or lease any part of our Service or included software without our prior written consent.

10. Disclaimers

Tempus provides automated investment advisory services. We are not a tax advisor, broker-dealer, or legal advisor. The Service is not intended to provide, and should not be relied upon for, tax or legal advice. You should consult with your own qualified professionals for tax or legal advice specific to your situation.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising from or relating to these Terms or your use of the Service shall be resolved through final and binding arbitration, rather than in court. This arbitration will be administered by the American Arbitration Association in accordance with its rules.

12. Indemnification

You agree to indemnify, defend, and hold harmless Tempus and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses arising out of your breach of these Terms, your violation of any law, or your infringement of the rights of any third party.

13. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Tempus regarding the Service.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

Waiver: The failure of Tempus to enforce any right or provision of these Terms will not be considered a waiver of those rights.
